Genz-Ryan Plumbing and Heating Co. ("Genz-Ryan") sued Weyerhaeuser NR Company ("Weyerhaeuser") in Minnesota state court, bringing breach of contract, promissory estoppel, and unjust enrichment claims. Weyerhaeuser removed to federal court, counterclaimed for declaratory relief, and moved to dismiss Genz-Ryan's equitable claims under Federal Rule of Civil Procedure 12(b)(6).
