MEMORANDUM
CAFFREY, Chief Judge.
This is a civil action brought by NCR Credit Corporation (“NCR Credit”) against Underground Camera, Inc. (“Underground”) to recover money allegedly due and unpaid on a computer sales contract. NCR Credit is a wholly-owned subsidiary of NCR Corporation (“NCR”), the third-party defendant in this action. NCR Credit is a Delaware corporation, Underground is a Massachusetts corporation and NCR is a Maryland corporation. This Court has jurisdiction under 28 U.S.C. § 1332.
