Introduction

Following a nonjury trial on plaintiff-respondent Richard W. Eastwood’s (hereinafter plaintiff), five-count complaint, the trial court ruled in favor of defendant-appellant Kent Froehlich, as executor under the will Of Bruce E. Lewis, deceased, upon all counts except the fourth. This fourth count sought recovery • for violation of the California Franchise Investment Law. (Corp. Code, § 31000 et seq.)
