This declaratory judgment suit was filed by Plaintiff, John Tiernan, owner and sole stockholder of Matane Corporation (hereinafter “Matane”), against Defendant and Third Party Plaintiff James Barresi (hereinafter “Barresi”). At issue is whether or not an option to purchase shares of Matane was granted to Barresi. Plaintiff seeks a declaratory judgment that, contrary to Barresi’s allegation, such an option was never granted.
