OPINION

RODRIGUEZ, Senior District Judge.

This matter has come before the Court on Defendants’ motion to dismiss the Complaint pursuant to Fed.R.Civ.P. 12(b)(1) and 12(b)(6). 1 Oral argument was heard on Thursday, September 28, 2006, and the record of that date is incorporated here. For the reasons that follow, the Court will grant the motion to dismiss under Fed. R.CivP. 12(b)(1).
