MEMORANDUM
CAFFREY, Senior District Judge.
This case is before the Court on the defendant’s, Gilbert Beinhocker (“Bein-hocker”), motion for summary judgment. Fed.R.Civ.P. 56. Jurisdiction is founded upon diversity of citizenship, and the amount in controversy exceeds $50,000. The plaintiff, Robert J. Bolen (“Bolen”), brought this action against defendant, Paragon Plastics, Inc. (“Paragon”) and Paragon’s Chief Executive Officer, Beinhocker, alleging breach of their Sales Representative Agreement (“Agreement”).
