In this appeal, we consider whether a corporate bylaw is invalid when it contravenes the voting requirements of the corporation’s articles of incorporation. We conclude that a corporation’s bylaw is void to the extent that it is inconsistent with the corporation’s ar*62tides of incorporation. Based upon this conclusion, we next consider whether an amendment to the bylaws is likewise invalid when it is adopted under the invalid bylaw’s voting procedure.
