WADE, District Judge.
On April 19,1917, Ford Bros. Land & Livestock Company, a Utah corporation, forfeited its charter by failure to pay its annual license tax, and since that time the defendants J. W. Ford, Joseph N. Ford, Elizabeth G. Ford, and Thomas Ford, its surviving directors, have been trustees of its assets. About May 14,1918, Ford Bros, entered into a contract with Skeen & Skeen, by J. D.
