These are cross-motions for summary judgment. Jurisdiction is based on diverse citizenship and New York law is applicable.

The principal contested legal issue is whether the bylaws of the Globe Slicing Machine Company prohibiting the “sale or disposition” of shares of its capital stock without first giving the corporation or its other stockholders an opportunity to purchase are applicable to transfers consequent upon the death of a shareholder. On this issue the parties agree that there is no question of fact.
