Two men who owned, in inequal amounts, all the stock of a domestic business corporation, made an agreement to vote for, and later did vote for and adopt at a stockholders’ meeting, by-laws of the corporation, providing as follows: 1. That no action should be taken by the stockholders except by unanimous vote of all of them; if, however, thirty days ’ notice of the meeting had been given, unanimous vote of the stockholders present in person or by proxy should be sufficient; 2.
