ORDER
NORTON, District Judge.
This case is before this court on cross motions for summary judgment under Fed. R.Civ.P. 56(c). The dispute is between Fair-field Communities (Fairfield), the developer of a time share community located on Edisto Island called Egrets Pointe Townhouses (Egrets Pointe), and the Egrets Pointe Townhouses Property Owners Association (Association) along with several individual members of the Association’s Board of Directors.
