Plaintiffs bring suit for, inter alia, breach of fiduciary duties and fraud. Plaintiffs are Corrections USA (“CUSA”), a California mutual benefit corporation representing publicly employed correctional officers, and Mike Jimenez, the incorpo-rator of CUSA. Compl. ¶ 1-2. Defendants (Brian Dawe, Richard Loud, and Gary Harkins) are former officers of CUSA.
