Clifton Boynes1 and Transportation Services of St. John, Inc. (“TSSJ”) entered into a mediated settlement agreement (“Agreement”) in which Clifton agreed to sell his shares of TSSJ stock back to TSSJ at fair market value (“FMV”) in exchange for both parties agreeing to stipulate to a dismissal with prejudice of the litigation pending between them, releasing all claims and counter-claims against one another.
