MEMORANDUM OPINION AND ORDER

THIS MATTER comes before the Court on the Defendant’s Motion for Summary Judgment, filed November 21, 2008 (Doc. 72)(“Motion”). The Court held a hearing on December 30, 2008. The primary issues are: (i) whether the Addendum to the Real Estate Agreement (“Addendum”) requires a family-lot split that would be impossible under the governing law; and (ii) whether the Real Estate Purchase Agreement (“REPA”) and the Addendum are invalid because Keith C.
