It was shown on behalf of the plaintiff, that, prior to his election as president, the corporation had, by a resolution of its board of directors, fixed the compensation of the president at one hundred and fifty dollars per month, and that no change therein had been made by the corporation.

The Renton Coal Company was organized as a corporation under the laws of this state in 1874, and carried on the business for which it was incorporated until January 20, 1894. At that date an agreement was entered into between it and the defendant herein by which the corporation assigned and transferred to the defendant certain real and personal property, and the defendant in consideration thereof assumed and agreed to pay all the indebtedness and obligations of the corporation then existing.
