This matter is before the Court on Defendants’ Motions to dismiss all counts Of the Complaint.

I. Background

In July 1999, Stone Castle Financial, Inc. (“Plaintiff’ or “Stone Castle”), a financial investment company located in California, secured the services of Friedman, Billings, Ramsey & Co., Inc.
