Plaintiffs appeal from a judgment dismissing their action for damages and declaratory relief based on an order sustaining defendant’s general and special demurrers to their second amended complaint without leave to amend. Plaintiffs contend the order sustaining defendant’s demurrers was error. Determinative of the appeal is our conclusion the order sustaining the general demurrer without leave to amend was proper. “A demurrer admits all material and issuable facts properly pleaded ....
