MEMORANDUM OPINION AND ORDER
ATLAS, District Judge.
This securities fraud case is before the Court on Defendants’ Motion to Dismiss Plaintiffs’ Amended Complaint [Doc. # 18]. The parties agree that Plaintiffs must satisfy the pleading requirements of both Rule 9(b) of the Federal Rules of Civil Procedure and the Private Securities Litigation Reform Act of 1995 (“PSLRA”), 15 U.S.C. § 78u-4.
