Defendant William J. McGregor agreed to sell his advertising business to Bates Advertising USA, Inc. (“Bates”) pursuant to a Stock Purchase Agreement (“Purchase Agreement”) entered into by the parties. Bates now contends that it overpaid McGregor for his business and that McGregor has refused to repay the excess over the minimum purchase price set forth in the Purchase Agreement, thereby necessitating this action.
