This securities fraud action arose out of the sale of tax-exempt bonds issued by three Colorado water and sanitation districts: Woodmoor at Breckenridge Water and Sanitation District (hereinafter Woodmoor at Breckenridge), Roxborough Park Metropolitan District (hereinafter Roxborough Park), and Morrison Creek Metropolitan Water and Sanitation District (hereinafter Morrison Creek).
