MEMORANDUM
HARRINGTON, District Judge.
This is an action for damages and injunc-tive relief arising from the failure of Koplov-sky Foods, Inc. (“KFI”) and Clermont, Inc. (“Clermont”) to make payment for cranberries sold and delivered to them by Plaintiffs Francis V. Johnson and Charles R. Johnson. Plaintiffs’ complaint assert actions under contract, the Perishable Agricultural Commodities Act (“PACA”), the Fraudulent Conveyance Act, and the Massachusetts Unfair Trade Practices Act against KFI, Clermont, Braintree Hill Corporation, Zero Franklin Corporation, Elaine Koplovsky and Edward M.…
