This is a motion to dismiss a complaint alleging violations of the Securities Exchange Act of 1934 (the “Exchange Act”) and the regulations promulgated thereunder by the Securities and Exchange Commission (the “SEC”). 1 The plaintiffs, Union of Needle-trades, Industrial and Textile Workers (“Unite”), Southern Regional Board of Unite, and the May Company Independent Shareholders Committee (collectively, “UNITE”), seek recovery against the defendant, May Department Stores Company (“May”), on two grounds.
