MEMORANDUM AND ORDER
SAFFELS, District Judge.
This matter is before the court on defendant Kansas City Southern Industries, Inc.’s (“KCSI”) motion to dismiss the first amended complaint and for summary judgment.
Plaintiffs brought this action pursuant to the Employee Retirement Income Security Act of 1974 (“ERISA”), 29 U.S.C. § 1001 et seq. Plaintiff Norma J. Dehner is the estranged wife of James B.
