FACTS

On February 18, 2000, the plaintiff, Photronics, Inc. (Photronics), filed a five-count complaint against the defendants, Wayne DeCarlo (DeCarlo) and DuPont Photomasks, Inc. (DPI). This action arises out of injuries and losses allegedly sustained as a result of DeCarlo's breach of certain employment-related agreements entered into with Photronics, his former employer, prior to and during the course of his employment therewith.
