MEMORANDUM AND ORDER
LUNGSTRUM, District Judge.
This case concerns a real estate development project in Johnson County, Kansas, called Woodland Hills. Woodland Hills Joint Venture (WHJV) is a Kansas general partnership consisting of SMWNPF Holdings, Inc. (Holdings) and Old Colony Ventures I, Inc. (OCV) as partners. Holdings also financed the venture and took a security interest in WHJVs real property. In the present action, OCV brought various claims against Holdings with respect to the failed development.
