BACKGROUND
A. State Court Proceedings
On January 14, 1985, Maxine Gaudio (the "movant”) commenced a marriage dissolution action against Arthur Gaudio (“Gaudio”). Maxine Gaudio v. Arthur Gaudio, No. FA 85 0074676 S (Super.Ct., J.D. of Stamford/Norwalk). At that time Gaudio’s principal asset was 100% of the shares of the debtor, and the debtor’s principal asset was a building in Stamford, Connecticut (the “Stamford building”).
