Budget Marketing, Inc. (BMI) and Charles A. Eagle appeal from an order of summary judgment denying their claims against Centronics Corporation for: (1) breach of implied duty to negotiate in good faith; (2) promissory estoppel; and (3) negligent misrepresentation. This suit arises out of the breakdown in negotiations for the purchase of BMI by Centronics. The district court also entered summary judgment against Centronics on its counterclaim of negligent misrepresentation. Both parties appeal.
