This action is before the court on a motion to dismiss by defendants Synkinetics, Inc. (the “Company”) and Santo P. Pasqualucci (“Pasqualucci”) (docket #15), and a separate motion to dismiss by defendant Carl J. Yankowski (“Yankowski”) (docket #13). Both motions are filed pursuant to Mass.R.Civ.P. 12(b)(6).
