MEMORANDUM OPINION AND ORDER

SHADUR, District Judge.

Meditech International Company (“Meditech”) has sued Minigrip, Inc. (“Minigrip”), alleging violations of Sherman Act §§ 1 and 2, 15 U.S.C. §§ 1 and 2, and part of the Racketeer Influenced and Corrupt Organization's Act (“RICO”), 18 U.S.C. § 1962(a). 1 Minigrip has now moved for dismissal under Fed.R.Civ.P. (“Rule”) 12(b)(1) (lack of subject matter jurisdiction) and Rule 12(b)(6) (failure to state a claim). For the reasons stated in this memorandum opinion and order:
