Plaintiff John D. Kuhns brings this action against defendants Dean Ledger, Robert Fasnacht, Ronald B. Foster, and NanoFlex Power Corp. (“NanoFlex” or “the company”) seeking damages, injunc-tive, and declaratory relief arising out of his termination as Executive Chairman and co-CEO of NanoFlex. Presently before us is defendants’ partial motion to dismiss the complaint. For the reasons stated below, defendants’ motion is granted in part and denied in part.
