MEMORANDUM OPINION AND ORDER
HAIGHT, District Judge:
This action was commenced by holders of common stock of Emersons Ltd. (“Emersons”), a Delaware corporation which operated 40 limited-menu restaurants in seven eastern states and the District of Columbia. Plaintiffs allege violation by defendants of §§ 10(b), 13 and 14(a) of the Securities Exchange Act of 1934, 15 U.S.C. §§ 78j(b), 78m, and 78n(a), as well as violations of Rules 10b-5,13a-ll and 14a-9 promulgated thereunder.
