SPRIZZO, District Judge:

This action arises from the purchase by plaintiffs of stock in AM International, Inc. (“AMI”). Plaintiffs have sued AMI, various officers and directors of AMI, and Price Waterhouse, the company’s independent auditor,1 pursuant to sections 10(b) and 20 of the Securities Exchange Act of 1934, 15 U.S.C. §§ 78j(b) and 78t, and Rule 10b-5, 17 C.F.R. § 240.10b-5, alleging misrepresentations and omissions in AMI’s fiscal 1979 and 1980 Annual Reports and Form 10-K’s, and interim financial reports and Form 10-Q’s for the first quarter of fiscal 1979 through the…
