OPINION
SWEET, District Judge.
Defendants Belnovo, S.A. (“Belnovo”) and Grupo Mundial Tenedora, S.A. (“GM”) (collectively, the “Defendants”) have moved pursuant to Federal Rules of Civil Procedure 9(b) and 12(b)(6) to dismiss the Second Amended Complaint (“SAC”)1 of plaintiffs Luis Marino (“Marino”) and Gustavo Serpa (“Serpa”) (collectively, the “Plaintiffs”) for failure to plead fraud with particularity and failure to state a claim. Upon the conclusions set forth below, Defendants’ motion to dismiss the SAC as to GM and Belnovo is granted, and the Plaintiffs are granted leave to replead within…
