OPINION AND ORDER

LEISURE, District Judge.

This diversity action arises out of the collapse of the ceiling of the Murray Hill Cinema (“Murray Hill” or “Cinema”) on July 15,1986. The case is currently before the Court on the parties’ cross-motions for summary judgment. Plaintiff Sutton Hill Associates (“SHA”), a California general partnership, seeks summary judgment in its action to recover the proceeds of an insurance settlement it negotiated with counterclaim defendant Royal Insurance Company of America (“Royal”).
