On February 19, 1915, the defendant, with others, entered into an agreement in writing with Kriterion Film Corporation, whereby he and they severally subscribed for, at par, an original issue of approximately $25,000 of its capital stock. The agreement provided that the subscribers would pay for the *432stock “on or after ’ ’ six months from its date, and that the stock should be allotted to them in the proportion that $25,000 should bear to the total amount subscribed.
