In 1993, Varity Corporation (Varity) unilaterally modified a retirement health program that had been established for the benefit of its employees through the collective bargaining process prior to its acquisition of the Defendant/Third Party Plaintiff, Masseyr Ferguson, Inc. (Massey-Ferguson). Varity’s administrative decision resulted in the commencement of several lawsuits, including the case at bar which was filed in this district on October 29, 1993.
