MEMORANDUM AND ORDER

LEVAL, District Judge.

This action is for rescission of the sale of a security under the federal securities laws and common law fraud. Defendants First Maryland Savings & Loan, Inc. (“First Maryland”) and Maryland Deposit Insurance Fund Corporation (“MDIF”) (collectively “defendants”) 1 move to dismiss this action pursuant to Fed.R.Civ.P. 12(b)(1) contending that as an “arm” of the State of Maryland, MDIF is protected from suit in federal court under the Eleventh Amendment and that the action against First Maryland must be dismissed because MDIF is the real party in…
