Vanguard Telecommunications, Inc. (“Vanguard”) is incorporated, headquartered and has its principal place of business in the State of New Jersey. It is in the business of providing telecommunication consulting and related services and at times relevant to this matter was in the business of brokering long distance telephone capacity. Vanguard brought this ac tion against Southern New England Telephone Company (“SNET”), CSX Corporation (“CSX”) and Lightnet for breach of contract.
