MEMORANDUM OPINION AND ORDER
SCHEINDLIN, District Judge.
Plaintiff State Wide Photocopy, Corp. (“State Wide”) commenced this action against Tokai Financial Services, Inc. (“To-kai”), Atlantic Business Products, Inc. (“Atlantic”) and an Atlantic employee, Robert Cohen (“Cohen”), on November 21, 1994.
