Dr. Young filed his original bill seeking a rescission of a contract with defendant, Dr. J ones, for breach thereof and cancellation of the balance due on a note. Defendant demurred on the ground complain ant could not have rescission of a contract which had been partly executed and under which complainant had received substantial benefits, because complainant had not offered to, and could not, refund that which he had received.
