MEMORANDUM AND ORDER

CONBOY, District Judge:

Currently pending before the Court are two motions by the defendants, the Insurance Company of the State of Pennsylvania (“ICSP”), National Union Fire Insurance Company of Pittsburgh (“NUFI”), and American International Underwriters Corporation (“AIU”). First, the defendants seek to dismiss pursuant to Rules 12(b)(7) and 19 of the Federal Rules of Civil Procedure, for failure to join an indispensable party.
