Appellants Highland Crusader Offshore Partners, L.P., Highland Equity Focus Fund, L.P., Highland Capital Management, L.P., and Highland Capital Management Services, Inc. (together Highland) purchased $90 million dollars’ worth of shares of Series A Cumulative Convertible Preferred Stock (Series A Preferred Stock) from appellee Motient Corporation.
