This action involves four financial transactions between directors of plaintiff corporation, all alleged to be part of a plan or scheme whereby one group would sell their stock and the other secure control of the company because of dissension between the two factions thereof. The retrial under the first count of the complaint involved defendants Luton, Cruiekshank, Ferguson, Lyon and Woodward. Only the portion of the judgment as it affects Eva M.
