MEMORANDUM OPINION AND ORDER

LOWE, District Judge.

This is a diversity action between plaintiff Ilro Productions, Ltd. (“Uro”), a California corporation with principal place of business in California,1 and defendants Music Fair Enterprises, Inc. (“Music Fair”), a New York corporation with principal place of business in this State,2 and two individuals.
