MEMORANDUM AND ORDER
WALKER, District Judge:
Defendant Jonathan Woodner Company, Inc. (“JWC”) brings this motion to dismiss a breach of contract complaint brought by plaintiff Expense Reduction Services, Inc. (“Expense Reduction”). JWC moves pursuant to Rule 12(b)(6) of the Federal Rules of Civil Procedure on the grounds that Expense Reduction is an unlicensed foreign corporation regularly doing business in New York and is therefore unable to maintain an action in this State.
