Mill-Bern Associates, Inc. (“Mill-Bern”), a Massachusetts corporation, brought this action in the Massachusetts Superior Court against Dallas Semiconductor Corporation (“Dallas”), a Texas corporation, and two individual employees of Dallas: Gregory Cappelli, a resident of New York, and William Galluccio, a resident of Massachusetts.
