Marvel, Vice Chancellor:
Plaintiff, who claims to be the owner of 100 shares of the capital stock of Phillips Petroleum Company and to have been a Phillips stockholder since “in or about” 1943, brings this action on behalf of herself and all other stockholders similarly situated against Ada Oil Company, Inc., its president, Kenneth S. Adams, Jr., and the officers and directors of Phillips Petroleum Company holding office during the period from 1947 to the date of the filing of the complaint.
