{¶ 1} On January 11, 2001, J. Lee Covington II, Superintendent of the Ohio Department of Insurance, in his capacity as liquidator of Credit General Insurance Company and Credit General Indemnity Company (“CGIC” or “CGIND” respectively, or “Credit General” collectively), filed suit in the Franklin County Court of Common Pleas against three former officers and directors of the liquidated insurers, Robert J.
