M.J. Whitman & Co., Inc. Pension Plan (Whitman), a shareholder in American Fi*395nancial Enterprises, Inc. (AFEI), brought this derivative suit to compel AFEI to register under the Investment Company Act of 1940 (ICA or the Act), 15 U.S.C. § 80a-l et seq. (1981). The District Court found no private right of action to compel registration under the ICA and granted summary judgment against Whitman.
