In June of 1955 three of the named defendants, Glantz, Bender off and Chisik, undertook to form a corporation under the laws of the State of Indiana for the purpose of carrying on business: in the purchase and sale of windows. Articles of incorporation setting forth the corporate name as Indiana Window Distributors, Inc., were prepared and filed in the office of the secretary of State of Indiana on June 21, 1955. No copy of said articles was filed in the office of the county recorder of Marion county, Indiana, nor was there an affidavit by a majority of the board of directors stating that the…
